For years, the IDR 10 billion paid-up capital requirement was one of the first numbers foreign investors learned about setting up a business in Indonesia — and one of the biggest reasons some walked away. In practice, this decouples the upfront cash commitment from the overall investment expectation — the remaining amount can be realised progressively through equipment purchases, facility costs, and operational spend, tracked through quarterly LKPM reporting.
The Twelve-Month Lock-Up
The reduced capital comes with a new condition: the IDR 2.5 billion must remain in the company's corporate bank account for at least twelve months, unless it is deployed for legitimate business purposes such as property acquisition, facility construction, or procurement, supported by documentation. BKPM enforcement on this point has been tightening through 2026, and investors should not treat the deposited capital as freely available working capital in the first year.
Sector-Specific Thresholds Still Apply
The headline figure does not apply uniformly across every sector. Wholesale trade businesses are assessed based on the first four digits of their KBLI code, while food and beverage services are calculated per location using the first two digits. The Positive Investment List continues to restrict or condition foreign ownership in specific sectors regardless of the capital reduction. Any structuring decision needs to start with an accurate KBLI classification, not the headline capital number alone.

Daftar Positif Investasi tetap membatasi atau memberi syarat pada kepemilikan asing di sektor tertentu, terlepas dari penurunan modal ini. Setiap keputusan strukturisasi harus dimulai dari klasifikasi KBLI yang akurat, bukan hanya dari angka modal utama.
