Two Distinct Compliance Steps
Annual-reporting compliance for a capital-partnership company does not end when the Annual General Meeting of Shareholders ("AGM") is held. MOL Regulation 49/2025 creates two distinct steps that should be managed separately.
First, the internal corporate-governance step: the Board of Directors must submit the annual report to the AGM after it has been reviewed by the Board of Commissioners, no later than six months after the end of the company's financial year. For a company with a 1 January to 31 December financial year, this deadline will generally be 30 June of the following year.
Second, the notification to the Minister: the AGM approval of the annual report must be recorded in a notarial deed. The Board of Directors, through the notary, must then submit that approval electronically through SABH within 30 days after the notarial deed is signed.
The distinction matters. Holding the AGM does not by itself complete the administrative notification to the Minister; likewise, preparing an annual report does not remove the need for a notarial deed and electronic submission through SABH.
What Needs to Be Prepared
The annual report remains the Board of Directors' accountability instrument to shareholders under the Company Law. It should be complete and consistent with the company's circumstances, including information on the company's activities, implementation of social and environmental responsibility where relevant, material issues affecting the business, business prospects, financial statements, the Board of Commissioners' supervisory report, changes to the composition of the Board of Directors and Board of Commissioners, and directors' and commissioners' remuneration.
For SABH submission, the supporting documents must include at least the notarial deed recording approval of the annual report and the annual report itself. Because these documents form the basis of the administrative notification, the company should ensure consistency among the annual report, AGM materials, shareholder resolutions, and notarial deed.
Late Filing and SABH Blocking Risk
A capital-partnership company that fails to submit the AGM approval of its annual report, or submits it after the prescribed deadline, may be subject to administrative sanctions. The initial measure is a written warning delivered through a notification on SABH and/or the company's registered email address.
If the company does not meet the obligation within 30 days after the written-warning notification, the Minister may block its SABH access. The block takes the form of closing the company's access to SABH and may disrupt the use of legal-entity administration services needed for subsequent corporate actions.
A company whose SABH access has been blocked may apply to the Director General through SABH to have the block lifted, by completing the prescribed form and uploading supporting documents. Given the potential impact on corporate transactions, remediation should begin as soon as a delay is identified.
A Different Route for Individual Companies
An individual company (Perseroan perorangan) does not follow the AGM-and-notarial-deed process applicable to a capital-partnership company. Its founder must submit the company's financial statements electronically through SABH no later than six months after the end of the current accounting period.
This distinction should be reflected in the compliance calendars of corporate groups that operate more than one form of entity. Applying a single process without distinguishing the company type may lead to errors in procedure, documentation, and deadlines.
Building an Executable Compliance Calendar
Annual reporting through SABH should be managed as a process rather than a post-AGM filing task. Finance, the Board of Directors, the Board of Commissioners, shareholders, notaries, and legal teams should work to an aligned timetable from the close of the financial year.
What This Means for Your Business
- Set two separate compliance deadlines: no later than six months after financial year-end for submission of the annual report to the AGM, and within 30 days after the notarial deed is signed for SABH submission.
- Ensure that the annual report has been reviewed by the Board of Commissioners, approved by the AGM, and is consistent with AGM materials and the notarial deed.
- Coordinate early with the notary so that the approval deed and supporting documents can be submitted electronically through SABH without delay.
- Monitor SABH notifications and the company's registered email address actively to avoid missing a written warning.
- If SABH access has been blocked, commence remediation promptly through the unblocking procedure and submit the required supporting documents.
Dua Tahap Kepatuhan yang Harus Dipisahkan
Kepatuhan laporan tahunan Perseroan persekutuan modal tidak berhenti pada penyelenggaraan RUPS Tahunan. Permenkum 49/2025 membentuk dua tahap yang perlu dikelola secara terpisah.
Tahap pertama adalah tata kelola internal Perseroan. Direksi menyampaikan laporan tahunan kepada RUPS setelah laporan tersebut ditelaah oleh Dewan Komisaris, paling lambat enam bulan setelah tahun buku Perseroan berakhir. Untuk Perseroan dengan tahun buku 1 Januari sampai 31 Desember, tenggat ini pada umumnya jatuh pada 30 Juni tahun berikutnya.
Tahap kedua adalah kewajiban pemberitahuan kepada Menteri. Persetujuan RUPS atas laporan tahunan harus dituangkan dalam akta notaris. Direksi, melalui notaris, kemudian menyampaikan persetujuan tersebut secara elektronik melalui SABH paling lama 30 hari sejak tanggal akta notaris ditandatangani.
Pemisahan dua tahap ini penting. RUPS yang telah terlaksana tidak dengan sendirinya menyelesaikan kewajiban administratif kepada Menteri; demikian pula, penyusunan laporan tahunan tidak dapat menggantikan kebutuhan akta notaris dan penyampaian elektronik melalui SABH.
Apa yang Perlu Disiapkan
Laporan tahunan tetap berfungsi sebagai instrumen pertanggungjawaban Direksi kepada pemegang saham sebagaimana diatur dalam Undang-Undang Perseroan Terbatas. Isi laporan perlu disusun secara lengkap dan konsisten dengan kondisi Perseroan, termasuk informasi mengenai kegiatan Perseroan, pelaksanaan tanggung jawab sosial dan lingkungan apabila relevan, permasalahan yang memengaruhi kegiatan usaha, prospek usaha, laporan keuangan, laporan pengawasan Dewan Komisaris, perubahan susunan Direksi dan Dewan Komisaris, serta remunerasi Direksi dan Dewan Komisaris.
Untuk penyampaian melalui SABH, dokumen pendukung paling sedikit mencakup akta notaris mengenai persetujuan atas laporan tahunan dan laporan tahunan itu sendiri. Karena dokumen ini akan menjadi dasar pemberitahuan administratif, Perseroan perlu memastikan kesesuaian antara laporan tahunan, materi RUPS, keputusan pemegang saham, dan akta notaris.
Risiko Keterlambatan dan Pemblokiran Akses SABH
Perseroan persekutuan modal yang tidak melaksanakan kewajiban penyampaian persetujuan RUPS atas laporan tahunan, atau melampaui tenggat penyampaiannya, dapat dikenai sanksi administratif. Tahap awalnya berupa teguran tertulis yang disampaikan melalui notifikasi pada SABH dan/atau surat elektronik sesuai data Perseroan.
Apabila kewajiban tidak dipenuhi dalam 30 hari sejak notifikasi teguran tertulis tersebut, Menteri dapat mengenakan pemblokiran akses SABH. Pemblokiran dilakukan dalam bentuk penutupan akses Perseroan pada SABH, sehingga dapat menghambat penggunaan layanan administrasi badan hukum yang diperlukan untuk tindakan korporasi berikutnya.
Apabila akses telah diblokir, Perseroan dapat mengajukan permohonan pembukaan pemblokiran kepada Direktur Jenderal melalui SABH dengan mengisi formulir yang dipersyaratkan dan mengunggah dokumen pendukung. Karena dampaknya dapat mengganggu agenda korporasi, remediasi sebaiknya dilakukan segera setelah keterlambatan teridentifikasi.
Perseroan Perorangan Memiliki Jalur Berbeda
Perseroan perorangan tidak mengikuti mekanisme RUPS dan akta notaris sebagaimana Perseroan persekutuan modal. Pendiri Perseroan perorangan wajib menyampaikan laporan keuangan secara elektronik melalui SABH paling lambat enam bulan setelah berakhirnya periode akuntansi berjalan.
Perbedaan ini perlu diperhatikan dalam grup usaha yang memiliki lebih dari satu bentuk entitas. Menggunakan kalender kepatuhan yang sama tanpa membedakan jenis Perseroan dapat menyebabkan salah penerapan proses, dokumen, dan tenggat.
Membangun Kalender Kepatuhan yang Dapat Dieksekusi
Pelaporan tahunan melalui SABH sebaiknya dikelola sebagai rangkaian proses, bukan sekadar pekerjaan pasca-RUPS. Fungsi keuangan, Direksi, Dewan Komisaris, pemegang saham, notaris, dan tim legal perlu memiliki jadwal yang selaras sejak penutupan tahun buku.
Implikasi bagi Bisnis Anda
- Tetapkan dua tenggat terpisah dalam kalender kepatuhan: paling lambat enam bulan setelah tahun buku berakhir untuk penyampaian laporan tahunan kepada RUPS, dan paling lama 30 hari sejak akta notaris ditandatangani untuk penyampaian melalui SABH.
- Pastikan laporan tahunan telah ditelaah Dewan Komisaris, disetujui RUPS, dan konsisten dengan materi RUPS serta akta notaris.
- Koordinasikan sejak awal dengan notaris agar akta persetujuan dan dokumen pendukung dapat segera disampaikan secara elektronik melalui SABH.
- Pantau notifikasi SABH dan alamat email Perseroan secara aktif untuk mencegah teguran tertulis terlewat.
- Bila akses SABH telah diblokir, segera lakukan remediasi melalui mekanisme pembukaan pemblokiran dan unggah dokumen yang dipersyaratkan.
